Che cos’è la tokenization? Trasformare gli asset reali in asset digitali

Immagina di possedere una parte di un dipinto di Picasso o di un grattacielo che domina la skyline di New York. Per molti di noi si tratta di una pia illusione. Ma la tokenization, il processo di conversione di un asset reale (RWA) in crypto token, ha il potenziale di rendere accessibile una vasta gamma di classi di asset tipicamente riservate ai professionisti. Vista la potenziale dimensione del mercato le aspettative sono alte, con previsioni che vanno dalla stima prudente di McKinsey di 4.000 miliardi di dollari a quella ottimistica di Standard Chartered di 30.000 miliardi di dollari. Il presente articolo fa chiarezza sui fatti dietro questo clamore.

La tokenization in termini semplici

Nonostante l’entusiasmo che la circonda, la tokenization non è un concetto nuovo. Nella finanza tradizionale, i certificati azionari rappresentano il numero di azioni detenute in un’azienda, mentre i fondi comuni di investimento emettono unità agli investitori. I token digitali modernizzano il vecchio approccio, come spiegheremo in seguito, offrendo al contempo gli stessi diritti:

  • Proprietà dell’asset

  • Il diritto di ricevere eventuali redditi dovuti, come i dividendi, e di partecipare alle operazioni societarie

  • Diritti contrattuali, compreso il diritto a una quota degli asset dell’azienda una volta regolati debiti e passività

Ad oggi gli asset finanziari sono la categoria di asset reali tokenizzati più comune, poiché gli emittenti vogliono semplificare le proprie operazioni eliminando gli intermediari coinvolti in uno scambio e approfittare di eventuali nuovi flussi di introiti offerti da prodotti innovativi. Molti dei principali gestori di asset hanno lanciato progetti pilota: BlackRock, Franklin Templeton, Janus Henderson e Fidelity hanno tokenizzato i Titoli di Stato statunitensi raccolto i token all’interno di fondi (dei quali solo alcuni sono disponibili per gli investitori retail).

Anche il settore immobiliare è considerato adatto alla tokenization, grazie al valore elevato e alla liquidity bassa degli asset coinvolti.

Perché la tokenizzazione è importante

Accessibilità

La tokenizzazione sta democratizzando l’accesso a prodotti di investimento di livello istituzionale. I fondi monetari, tradizionalmente riservati alle grandi istituzioni, vengono oggi tokenizzati e resi accessibili a una platea più ampia di investitori. Il fondo BUIDL di BlackRock (USD Institutional Digital Liquidity Fund), lanciato nel 2024 su Ethereum, consente agli investitori qualificati di accedere on-chain ai rendimenti dei Treasury statunitensi. In Europa, Spiko offre fondi monetari tokenizzati garantiti da titoli di Stato a breve termine, portando strumenti di gestione della tesoreria istituzionale a investitori e imprese di dimensioni più ridotte.

Liquidità

I fondi tokenizzati possono essere regolati in pochi minuti, anziché secondo i cicli di regolamento T+1 o T+2 della finanza tradizionale. Questo è particolarmente rilevante per la gestione della tesoreria: le imprese che detengono fondi monetari tokenizzati possono accedere alla liquidità quasi istantaneamente, invece di attendere giorni. La natura operativa 24/7 della blockchain implica inoltre che i rimborsi non siano limitati agli orari bancari. Per asset reali come il settore immobiliare o il credito privato, la tokenizzazione crea liquidità sui mercati secondari laddove prima non esisteva.

Sicurezza e automazione

Le blockchain forniscono un registro immutabile della proprietà, riducendo gli errori di riconciliazione e il rischio di frode. Gli smart contract automatizzano la distribuzione dei dividendi, le operazioni societarie e i controlli di conformità, riducendo i costi operativi ed eliminando le commissioni degli intermediari. Secondo uno studio di Calastone del 2025 condotto su 26 gestori patrimoniali globali, la tokenizzazione potrebbe ridurre i costi operativi complessivi dei fondi del 23%, con risparmi ancora maggiori in funzioni specifiche come la contabilità dei fondi (30%) e la transfer agency (25%).

I rischi e le sfide della tokenization

La tokenization ha il potenziale di rivoluzionare profondamente i mercati finanziari tradizionali, ma è importante essere consapevoli dei rischi prima di iniziare a investire.

Il primo è l’incoerenza e la continua evoluzione delle normative che regolano gli RWA tokenizzati. Queste regole variano a seconda della giurisdizione e degli asset, il che significa che le piattaforme potrebbero dover operare in modo diverso a seconda del luogo in cui si trovano i loro utenti.

È importante considerare anche i rischi tecnologici. Gli smart contract hanno dei punti deboli che gli hacker possono sfruttare per prosciugare i fondi detenuti in un contratto o interferire con i flussi di dati, i cosiddetti oracoli, che collegano le blockchain alle informazioni del mondo reale, come i prezzi degli asset. Le reti, poi, sono soggette a interruzioni.

C’è poi il rischio legato alla liquidity. Sebbene i token che rappresentano una proprietà frazionata siano più semplici da scambiare rispetto ad asset illiquidi, richiedono comunque acquirenti disposti all’acquisto. Se non c’è domanda o i mercati delle criptovalute crollano, potrebbe essere difficile vendere un token in tempi brevi o a un prezzo adeguato.

Il futuro della tokenization

Collegando la finanza tradizionale alla blockchain, la tokenization potrebbe aiutare a rendere più democratici gli investimenti, stimolare la liquidity e rendere la proprietà degli asset più sicura. E, con il sostegno di Wall Street, è considerata da molti una delle applicazioni di maggior successo della tecnologia.

Se la regolamentazione, l’interoperabilità e le soluzioni di custodia si allineassero, la tokenization potrebbe diventare l’infrastruttura finanziaria del prossimo decennio. Invece di sostituire le banche o i gestori di asset, potrebbe spingerli ad adottare l’infrastruttura della blockchain per il regolamento, la conservazione dei dati e l’automazione della conformità. A emergere saranno probabilmente coloro che riusciranno a conciliare entrambi i mondi, unendo la credibilità normativa e l’efficienza della blockchain. Gli investitori non devono chiedersi se la tokenization avverrà, ma in quanto tempo diventerà invisibile, perfettamente integrata nei prodotti finanziari di ogni giorno.

Come ottenere esposizione alla tokenizzazione

La tokenizzazione si basa su blockchain con smart contract. Ethereum domina questo ambito: il fondo BUIDL di BlackRock, l’OnChain US Government Money Fund di Franklin Templeton e i fondi monetari tokenizzati di Spiko operano tutti sulla rete Ethereum. Altre piattaforme come Solana, Polygon, Avalanche, Hyperliquid e Stellar ospitano asset tokenizzati, ma Ethereum rimane il principale livello infrastrutturale per la tokenizzazione istituzionale.

Ciò crea un collegamento diretto tra la crescita della tokenizzazione e l’adozione delle piattaforme di smart contract. Con il progressivo spostamento degli asset on-chain, queste reti elaborano un numero maggiore di transazioni, generano più commissioni e, nel caso di Ethereum, bruciano più ETH attraverso il suo meccanismo di fee. Il successo della tokenizzazione rappresenta, sotto molti aspetti, una scommessa sull’infrastruttura blockchain sottostante.

La tokenizzazione è ancora in una fase iniziale. Tuttavia, se la traiettoria dovesse continuare, con migliaia di miliardi di dollari in asset tradizionali che finiranno per migrare on-chain, le blockchain che regolano tali transazioni saranno quelle a beneficiarne in modo più diretto.
