Legislazione sulla struttura del mercato crypto (CLARITY Act): che cos’è, a che punto è e perché conta

Il CLARITY Act rappresenta finora il tentativo più serio di creare un quadro normativo chiaro negli Stati Uniti su come dovranno funzionare i mercati crypto. In particolare, chiarisce chi regola cosa, come devono operare le piattaforme di trading e quali obblighi informativi si applicano ai token. Se approvata, la legge fornirebbe alle imprese regole codificate e probabilmente rafforzerebbe la fiducia degli investitori nella classe di attivi, poiché il divario regolamentare tra crypto e finanza tradizionale si ridurrebbe in modo significativo.

Questa proposta di legge è particolarmente rilevante, sebbene non esclusivamente, per i progetti crypto oltre Bitcoin, poiché Bitcoin gode già di importanti precedenti storici negli Stati Uniti ed è meno influenzato dai principali nodi ancora irrisolti del disegno di legge (come i requisiti informativi in stile emittente, le disposizioni sul rendimento delle stablecoin e i confini degli intermediari DeFi).

Il disegno di legge è già stato approvato dalla Camera a metà del 2025, ma l’attuale versione del Senato è ora molto più ampia rispetto a quella della Camera. Ciò significa che l’ambito della “struttura di mercato” si è esteso trasformandosi in una negoziazione molto più articolata su componenti dettagliate del settore crypto, con emendamento dopo emendamento aggiunto al testo della legge.

La scorsa settimana, la Commissione bancaria del Senato ha rinviato il voto di markup previsto, dopo che si sono accumulate divergenze all’interno del settore su questi emendamenti, in particolare su quelli percepiti come favorevoli alle banche e alla finanza tradizionale in materia di rendimento delle stablecoin e tokenizzazione.

Pur trattandosi indubbiamente di un passo indietro, rimango ottimista sulla possibilità che una legislazione sulla struttura del mercato venga approvata quest’anno. La normativa crypto ha già attraversato fasi di turbolenza in passato: l’esempio più emblematico è il GENIUS Act della scorsa estate (una legge incentrata sulle stablecoin), che dimostra come anche proposte controverse possano superare ostacoli rilevanti quando il settore e la leadership politica decidono che un accordo deve essere raggiunto. La volontà di approvare una legge sulla struttura del mercato non è in discussione né tra gli operatori del settore né tra i decisori politici. Il rischio, tuttavia, è che il 2026 sia un anno di elezioni di medio termine e che il Congresso possa esaurire rapidamente il tempo a disposizione, soprattutto dopo agosto.

Cosa cerca di fare il CLARITY Act

Le regole finanziarie statunitensi sono state scritte per gli asset finanziari tradizionali, non per quelli basati su reti blockchain aperte. Questo disallineamento ha creato incertezza per investitori, imprese e autorità di vigilanza:

  • imprenditori e aziende che cercano di sviluppare prodotti in modo conforme alla legge,

  • investitori che cercano di comprendere i rischi,

  • autorità di regolamentazione che tentano di applicare leggi vecchie di decenni a nuove tecnologie.

Il CLARITY Act mira a codificare regole che riducano questa incertezza per tutte le parti coinvolte.

Il settore crypto è cresciuto fino a diventare un mercato globale di primo piano e ha dimostrato di consentire interazioni finanziarie prima impraticabili. L’obiettivo è creare linee guida durature che permettano una crescita continua senza pratiche scorrette.

Il punto centrale della struttura di mercato è rispondere alle seguenti domande:

  • Quale autorità di vigilanza supervisiona quale parte del settore crypto?

  • Quali regole devono seguire le piattaforme di trading?

  • Quali obblighi informativi sono richiesti quando i token vengono emessi, venduti o scambiati?

Perché la struttura di mercato è la priorità numero uno della politica crypto al Congresso

Sulla base di quanto sopra, riteniamo che vi siano tre motivi principali per cui questo tipo di legislazione è considerato una priorità assoluta:

1) Chiarezza regolamentare per gli imprenditori

Il principale problema della politica crypto negli Stati Uniti è che le aziende spesso non sanno cosa sia consentito fino a quando non interviene l’azione di enforcement. Il CLARITY Act è pensato per creare un percorso chiaro che consenta a imprenditori e imprese di operare negli Stati Uniti senza dover indovinare come i regolatori interpreteranno in seguito il loro modello di business. Per questo motivo, molti progetti crypto hanno scelto di servire esclusivamente clienti al di fuori degli Stati Uniti.

2) Integrità del mercato per gli investitori

Esiste un divario tra gli standard dei mercati crypto e quelli della finanza tradizionale, che può generare incertezza per gli investitori professionali. L’esempio più evidente è che permangono interrogativi su cosa debba essere considerato una commodity digitale rispetto a un titolo digitale. Tuttavia, l’ambiguità deriva anche dal fatto che le tecnologie crypto consentono nuove tipologie di transazioni finanziarie prima non possibili, e lo fanno su larga scala.

3) Tutele durature contro la volatilità politica

Se le regole crypto dipendono principalmente da chi è al potere in un determinato momento, imprese e investitori affrontano un’incertezza di lungo periodo. Una legge sulla struttura del mercato è importante perché può creare paletti destinati a durare nel tempo, anche in contesti politici futuri, riducendo il rischio di improvvisi cambiamenti nel trattamento normativo delle crypto.

Cosa fa effettivamente il CLARITY Act

Il quadro di base, approvato dalla Camera a metà del 2025, attribuisce maggiori responsabilità alla CFTC (Commodity Futures Trading Commission) per la supervisione dei mercati spot delle commodity digitali, preservando al contempo il ruolo della SEC (Securities and Exchange Commission) in materia di titoli e contratti di investimento. Questa è l’interpretazione più semplice.

In pratica, ciò comporterebbe regole più coerenti per la classificazione dei token, percorsi di registrazione più chiari per le sedi di negoziazione e requisiti informativi per gli emittenti di token.

Tuttavia, l’ambito del disegno di legge si è ampliato in modo sostanziale. La scorsa settimana, la Commissione bancaria del Senato ha pubblicato una bozza completa di 278 pagine del testo base, più gli emendamenti, di cui oltre 100 proposti. Di conseguenza, il disegno di legge è ora molto più esteso rispetto al nucleo originario della “struttura di mercato”.

Perché il markup è stato rinviato la scorsa settimana

La scorsa settimana avrebbe dovuto rappresentare una tappa fondamentale, con la Commissione bancaria del Senato impegnata a preparare un voto di markup, durante il quale un disegno di legge viene discusso, gli emendamenti vengono in gran parte definiti e una votazione stabilisce se il testo può avanzare dalla commissione all’aula del Senato.

Invece, il markup è stato rinviato.

La ragione non è che il Congresso abbia improvvisamente deciso di non volere una regolamentazione delle crypto. Il problema è che il disegno di legge è diventato un bersaglio mobile e le divergenze nel settore si sono intensificate dopo l’introduzione di bozze di emendamento percepite come uno spostamento del testo a favore delle banche e degli operatori finanziari incumbent.

In particolare, gli stakeholder del settore crypto hanno espresso preoccupazioni per modifiche che incidono su:

  • il rendimento delle stablecoin, in relazione alla limitazione delle ricompense e della concorrenza con le banche,

  • la tokenizzazione, in particolare sul fatto che il disegno di legge possa di fatto bloccare le azioni tokenizzate o favorire i tradizionali gatekeeper finanziari,

  • la DeFi, con timori di restrizioni più severe e di una maggiore sorveglianza.

È anche in questo contesto che il lobbying gioca un ruolo rilevante. I gruppi della finanza tradizionale hanno forti incentivi a plasmare il linguaggio su stablecoin e tokenizzazione per proteggere la propria posizione competitiva. Le imprese crypto e i sostenitori della DeFi hanno l’incentivo opposto: desiderano regole chiare ma non penalizzanti, che non rendano i servizi crypto impraticabili né li spingano fuori dal paese. Queste agende contrapposte sembrano riflettersi nelle proposte di emendamento, che hanno rallentato i progressi la scorsa settimana.

Considerazioni finali

Il CLARITY Act resta il percorso più chiaro verso un quadro normativo crypto duraturo negli Stati Uniti. Il rinvio della scorsa settimana dimostra che la questione di “come regolamentare le crypto” non è semplice né lineare. Esiste senza dubbio la volontà di dotare il settore crypto di regole codificate per legge. Allo stesso tempo, vi sono interessi contrapposti e opinioni divergenti su quali debbano essere tali regole e su cosa sia considerato equo sia dal settore crypto sia dalla finanza tradizionale.

Se il disegno di legge dovesse ritrovare slancio entro marzo e fosse percepito come dotato di supporto bipartisan, a mio avviso potrebbe rappresentare un fattore positivo per i mercati. Ridurrebbe in modo significativo l’incertezza di lungo periodo per il settore e per i regolatori, aumenterebbe la fiducia degli investitori nella supervisione statunitense e creerebbe un percorso più chiaro per offerte commerciali conformi. La domanda è se i legislatori riusciranno a finalizzare il compromesso e a portarlo al voto prima delle elezioni di medio termine di novembre 2026.
