Il dibattito sulla classificazione del bitcoin come commodity o come crypto-asset distinto è fondamentale per i quadri normativi e le dinamiche di mercato. Approccio degli Stati Uniti: Bitcoin come commodity

Negli Stati Uniti, il bitcoin è visto principalmente come una commodity. La Commodity Futures Trading Commission (CFTC) ha classificato il bitcoin come tale, sottolineando le sue analogie con le commodity tradizionali come l’oro e il petrolio. Il MiCA classifica il bitcoin e le altre criptovalute come crypto-asset distinti, riconoscendone le caratteristiche uniche e le esigenze normative.

L’approccio del MiCA considera il bitcoin come parte di una categoria più ampia di asset digitali, distinta dagli strumenti finanziari tradizionali o dalle commodity. Questa nuova classe di asset comprende vari tipi di crypto-asset, come gli utility token, i token di moneta elettronica (E-money token) e i token collegati ad attività (asset-referenced token), ciascuno con requisiti normativi specifici adattati alle loro caratteristiche e ai loro usi. Questo quadro normativo mira ad affrontare le sfide uniche poste dagli asset digitali, promuovendo al contempo la trasparenza e la protezione dei consumatori.

US Commodity vs EU Crypto-Asset Framework

  • Quadro normativo statunitense per le commodity: integra il bitcoin nei sistemi normativi esistenti, sfruttando le infrastrutture e i precedenti legali. Questo approccio fornisce un ambiente stabile e prevedibile per il trading di prodotti finanziari legati al bitcoin, ma potrebbe mancare della flessibilità necessaria per affrontare gli aspetti unici degli asset digitali.

  • Quadro normativo dell’UE per i crypto-asset (MiCA): Stabilisce una nuova categoria normativa per gli asset digitali, offrendo regole e tutele personalizzate. Questa flessibilità consente agli emittenti di ETP di creare prodotti basati sul bitcoin, indipendentemente dalla sua classificazione come commodity o crypto-asset.

I prodotti negoziati in borsa (Exchange-Traded Products, ETP) sono progettati per fornire un’esposizione agli asset sottostanti senza richiedere la proprietà diretta. Gli ETP possono essere strutturati in modo da seguire la performance di vari asset, tra cui materie prime, azioni e valute digitali come il bitcoin.

Se strutturati come Exchange-Traded Commodities (ETC), i bitcoin ETP sono sostenuti da bitcoin fisico custodito. Questa struttura garantisce che il valore dell’ETC segua da vicino il prezzo del bitcoin, offrendo agli investitori un modo semplice per acquisire esposizione alla criptovaluta.

In alternativa, i bitcoin ETP possono essere emessi come Exchange-Traded Notes (ETN), ovvero titoli di debito non garantiti. Gli ETN non comportano la proprietà del bitcoin sottostante, ma promettono di pagare il rendimento dell’indice bitcoin che seguono. Se da un lato gli ETN offrono un’esposizione al bitcoin, dall’altro comportano un rischio di credito aggiuntivo a causa della loro dipendenza dalla solvibilità dell’emittente.

Conclusioni

In sintesi, gli Stati Uniti e l’Unione Europea adottano approcci diversi alla regolamentazione del bitcoin, con gli Stati Uniti che lo integrano nei quadri normativi sulle commodity e l’Unione Europea che istituisce una nuova categoria normativa: il regolamento MiCA.

Nonostante queste differenze, gli ETP possono cartolarizzare il bitcoin, offrendo agli investitori opzioni versatili per ottenere un’esposizione alla criptovaluta e facendo affidamento sulle normative di sicurezza esistenti.

È importante notare che questa analisi si applica specificamente al bitcoin. La classificazione di altri crypto-asset, come Ethereum, Solana e altri, rimane oggetto di un dibattito e di un esame normativo continui. Questi asset digitali presentano caratteristiche e casi d’uso diversi, il che complica la loro classificazione e il trattamento normativo.
