Bitcoin e criptovalute nelle tesorerie: che cosa si acquista davvero rispetto a ETP ed ETF?

Le criptovalute continuano il loro percorso verso la legittimità istituzionale. Con un’accettazione più ampia di Bitcoin, un numero sempre maggiore di società quotate in borsa ha aggiunto gli asset digitali fra i propri beni aziendali.

Questa tendenza ha creato nuove modalità di esposizione per gli investitori: non attraverso la detenzione diretta di criptovalute, e nemmeno tramite ETP o ETF, ma acquistando azioni di società con considerevoli riserve di criptovalute.

Tuttavia, questa strategia comporta differenze e rischi significativi che devono essere presi in considerazione.

Strategy, la pioniera

Strategy, precedentemente nota come MicroStrategy, è stata la prima importante azienda quotata in borsa ad adottare completamente Bitcoin come asset proprio.

Nel 2020, sotto la guida di Michael Saylor, la società è passata dai software aziendali alle criptovalute, dichiarando che Bitcoin è una riserva di valore migliore rispetto al denaro contante.

Al 29 luglio 2025, Strategy deteneva 607.770 BTC, acquisiti al prezzo medio di circa 71.700 $ a moneta. Considerando che Bitcoin viene negoziato a quasi 119.500 $, le riserve dell’azienda superano ora il valore di 72 miliardi di dollari.

Questa scommessa ha dato i suoi frutti, come dimostra il fatto che i titoli Strategy hanno registrato un aumento superiore al 3.700% in cinque anni, superando di gran lunga la performance dello stesso Bitcoin.

Strategy MSTR performanceL’azienda ha finanziato il suo accumulo di Bitcoin attraverso una combinazione di offerte azionarie, azioni privilegiate e obbligazioni convertibili. Questa struttura aggiunge livelli di complessità finanziaria, come la diluizione e il pagamento degli interessi.

Aumentano le aziende con tesoreria in Bitcoin

Per quattro anni, Strategy è stata l’unica azienda a utilizzare questa strategia, ma il suo successo ha finalmente ispirato altre aziende ad adottare un modello simile. La seconda è stata Metaplanet, che ha annunciato il suo piano a maggio 2024. Situata in Giappone, Metaplanet è uno degli esempi più importanti. Al 28 luglio l’azienda deteneva 17.132 BTC, per un valore totale di quasi 2 miliardi di dollari.

In Francia, The Blockchain Group (da poco ribattezzata Capital B) ha raccolto capitale tramite debiti denominati in Bitcoin, utilizzando i proventi per espandere la propria partecipazione in BTC. Queste società seguono l’architettura incentrata sulle criptovalute di Strategy, facendo affidamento su una leva finanziaria strutturata anziché su riserve fiat pure.

Altre aziende hanno optato per un approccio più semplice. Società come TwentyOne e Nakamoto hanno raccolto capitale, lo hanno convertito in criptovalute e ora operano principalmente come holding.

Il prezzo delle loro azioni, pertanto, è strettamente legato al valore dei loro asset digitali. Questa struttura minimalista ha degli svantaggi: una maggiore esposizione alla volatilità del mercato e l’assenza di attività sottostanti in grado di assorbire potenziali cali.

E ora parliamo di altcoin

Sebbene Bitcoin domini ancora le tesorerie aziendali, le altcoin stanno rapidamente guadagnando terreno.

SharpLink Gaming, in particolare, ha attirato l’attenzione con la sua strategia aggressiva di acquisizione di Ethereum. L’azienda ha recentemente acquistato 77.210 ETH per un totale di circa 295 milioni di dollari e ora, al 28 luglio 2025, detiene un totale di 438.017 ETH, per un valore di circa 1,7 miliardi di dollari ai prezzi di mercato attuali.

Anche Solana ha guadagnato terreno, in particolare con società come DeFi Development Corp., Upexi, Sol Strategies Inc. e Classover Holdings.

Alcune di queste aziende vanno oltre, mettendo in staking i propri asset oppure operando validatori per ottenere rendimenti.

Anche BNB sta attirando l’interesse delle istituzioni. Nano Labs detiene ora 120.000 BNB e ha in programma di aumentare questa posizione. Windtree Therapeutics si è impegnata a creare una riserva di 200 milioni di BNB, allineandosi con l’infrastruttura Web3 a lungo termine.

Nel frattempo, persino memecoin come Dogecoin stanno attirando l’attenzione. Bit Origin, una società di mining di Bitcoin, ha annunciato il suo progetto di raccogliere 500 milioni di dollari per creare una riserva in DOGE, causando un aumento del 90% del valore delle sue azioni in un solo giorno.

Che cosa si acquista davvero?

Come abbiamo visto, le possibilità di investimento sono sempre più varie per coloro che cercano un’esposizione attraverso le società con tesorerie in criptovalute.

Si tratta di un’alternativa legittima agli ETP su cripto, che offrono anch’essi agli investitori la possibilità di accedere al mercato delle criptovalute senza fare trading in borsa o detenere direttamente gli asset digitali.

Entrambe le soluzioni potrebbero essere interessanti per gli investitori istituzionali, come i fondi, oppure per i privati che vogliono evitare le complessità tecniche e operative dell’auto-custodia, dei portafogli e degli exchange di criptovalute centralizzati.

Tuttavia, possedere delle azioni in un’azienda che detiene criptovalute non equivale a possedere le criptovalute stesse. Mentre gli ETP e gli ETF sono progettati in maniera specifica per replicare fedelmente il prezzo dell’asset sottostante, le azioni in un’azienda con tesoreria in criptovalute introducono molti altri livelli di esposizione.

Questi includono la struttura del capitale dell’azienda, la salute finanziaria complessiva, i costi operativi, le decisioni gestionali, l’uso della leva finanziaria e altri fattori specifici dell’attività. Investendo in titoli di tesoreria in criptovalute, gli investitori sono esposti anche a premi e sconti rispetto al NAV, che gli ETP e gli ETF sono progettati per ridurre al minimo.

E, cosa ancora più importante, gli azionisti non hanno alcun diritto diretto sulle criptovalute detenute dall’azienda. Se questa andasse in fallimento, gli asset verrebbero liquidati per pagare i creditori e gli azionisti sarebbero gli ultimi della lista.

Le tesorerie in criptovalute sono una scommessa rischiosa

La domanda, quindi, rimane: investire in un’azienda con tesoreria in criptovalute è più allettante o meno rischioso rispetto a investire in ETP su cripto?

Le aziende con tesoreria in criptovalute offrono una soluzione alternativa per esporsi agli asset digitali, in particolare nelle giurisdizioni dove gli ETP o ETF spot non sono ancora disponibili.

Tuttavia, come abbiamo visto, questo modello emergente comporta diversi rischi, alcuni dei quali potrebbero essere stati attenuati dall’attuale bull market.

Per prima cosa, le aziende che si concentrano su altcoin e memecoin senza un core business sostenibile espongono gli investitori a una volatilità e un’incertezza significativamente più elevate. La redditività del loro modello è strettamente legata all’andamento del mercato delle criptovalute. Se i prezzi stagnano o calano, queste aziende possono rapidamente trovarsi sovraindebitate ed esposte a forti correzioni.

Il rischio è amplificato dall’utilizzo crescente del finanziamento PIPE (Private Investment in Public Equity). Emettendo decine o addirittura centinaia di milioni di nuove azioni, le aziende possono aumentare temporaneamente il proprio capitale, ma la vera prova arriva quando queste azioni diventano negoziabili.

In tempi recenti, questa tendenza ha portato a drammatici crolli nel prezzo delle azioni, annullando i precedenti guadagni e penalizzando gli ultimi piccoli investitori.

Per molti investitori, specialmente coloro che non sono in grado di monitorare attentamente queste variabili, gli ETF ed ETP regolamentati rimangono una soluzione più sicura e trasparente.
